1. Introduction

These Terms and Conditions ("Terms") govern your access to the CODELAB Studio website and your engagement of our services. By accessing our site or using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Services

We provide web development, maintenance, and consulting services. Specific terms such as deliverables, timelines, and responsibilities are detailed in individual project proposals, statements of work, or service agreements.

Such specific terms shall prevail over these general Terms in case of any conflict.

3. Payments

• Payments are due according to the payment schedule stated on your invoice or agreement.
• Late payments may result in suspension or termination of services after providing 7 days written notice.
• Late payments may be subject to interest charges of 5% per month or the maximum allowed by law, whichever is lower.
• Refunds are only issued under the conditions specified in our Refund and Cancellation Policy.

4. Intellectual property

• All custom code, content, and deliverables remain the intellectual property of CODELAB Studio until full payment is received.
• Upon full payment, ownership of project deliverables may transfer to the client, excluding any third-party libraries, assets, or open-source components used.
• We reserve the right to showcase completed work in our portfolio, unless otherwise agreed in writing.

5. Limitation of liability

To the fullest extent permitted by law:

• CODELAB Studio shall not be liable for any lost profits, lost data, business interruption, or any other consequential, special, or punitive damages.
• Our total liability for any claim shall not exceed the amount paid by you for the services giving rise to the claim.
• This limitation of liability shall not apply to cases of gross negligence, willful misconduct, death, or personal injury.

6. Termination

By CODELAB Studio:

We reserve the right to suspend or terminate services if you:

• Violate these Terms
• Engage in unlawful or abusive behavior
• Fail to make payment, after a 7-day notice period

By you:

You may terminate our engagement for material breach of these Terms by providing us with written notice. If the breach is not resolved within 30 days, termination may proceed.

Upon termination:

You are responsible for payment of all services rendered and expenses incurred up to the date of termination.

7. Confidentiality

Both parties agree to protect each other's confidential information shared during the course of the engagement and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination.

8. Data protection

We handle any personal data you provide in accordance with our Privacy Policy. By using our services, you consent to such processing.

9. Governing law

These Terms are governed by and construed in accordance with the laws of Greece, without regard to its conflict of law rules.

10. Entire agreement

These Terms, along with any referenced agreements or proposals, constitute the entire agreement between you and CODELAB Studio and supersede all prior discussions or understandings.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Changes to these Terms

We may update these Terms from time to time. The most current version will always be available on this page, with the effective date noted at the top.

Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
